The Assistant General Counsel will serve as a core legal partner to the firm’s investment, operations, and leadership teams handling the full arc of transactional, fund, and general corporate legal work that underpins a scaling private equity platform.
This is not a seat at the end of the table. The Assistant General Counsel will be embedded in deal execution, fund formation, and strategic decision-making from day one, working directly with firm leadership in a high-trust, high-autonomy capacity.
Job Responsibilities
M&A Transaction Support
- Lead or co-lead legal workstreams across acquisitions, divestitures, carveouts, and special situation investments
- Manage outside counsel throughout transaction execution
- Draft and negotiate purchase agreements, LOIs, NDAs, and ancillary transaction documents
Fund Formation & Investor Matters
- Support the structuring and launch of SkyView’s inaugural institutional fund
- Assist with LP documentation, subscription agreements, fund governance, and regulatory filings
General Corporate & Governance
- Oversee entity management, board resolutions, portfolio company governance, intercompany agreements, and firm-level corporate housekeeping across domestic and international structures
Employment & HR Legal
- Advise on employment agreements, equity and incentive arrangements, separation matters, and broader HR-related legal issues across both the firm and portfolio companies
Litigation Oversight
- Manage outside litigation counsel and monitor active matters
- Assess legal exposure and provide strategic guidance to firm leadership on dispute-related decisions
Legal Operations
- Build scalable internal legal processes and operational infrastructure
- Manage outside counsel relationships and legal spend
- Help institutionalize the legal function as the firm continues to scale and formalize operations
Qualifications
- J.D. from an accredited law school required
- Active California Bar admission required; dual licensure in New York, Florida, or Delaware is a strong plus
- 5–6+ years of M&A transaction experience at a top-tier law firm and/or in-house with a private equity firm or financial sponsor
- Experience with fund formation, private funds, or investor-related legal matters is highly preferred
- Exposure to general corporate, employment, and/or commercial litigation matters within a transactional or in-house environment
- Strong commercial instincts with the ability to make pragmatic legal decisions that support transaction efficiency and business objectives
- Based in Los Angeles or open to relocation; ability to maintain an in-office presence at the firm’s Beverly Hills headquarters
