We are looking for a Corporate Paralegal to join a growing organization in California on a contract-to-permanent basis with a long-term opportunity. This position is ideal for a legal specialist with strong attention to detail who can combine strong corporate governance knowledge with a highly organized, executive-support approach. The person in this role will help manage equity administration, maintain legal records, and contribute to financing activities while partnering closely with leadership in a fast-paced environment.
Responsibilities:
• Oversee corporate governance records, maintain entity documentation, and help ensure board and company actions are accurately tracked and organized.
• Administer equity programs through Carta, including cap table updates, option processing, and ongoing maintenance of ownership records.
• Prepare and coordinate documents related to stock options, equity plans, and 83(b) election processes with careful attention to accuracy and deadlines.
• Support fundraising and financing activities by organizing due diligence materials, maintaining data rooms, and assisting with investor-related documentation.
• Partner with executive leadership as a reliable operational resource by managing legal and corporate administrative priorities independently.
• Monitor compliance matters connected to corporate and securities activities and help keep required filings, records, and internal documentation current.
• Assist with legal operations workflows that improve organization, accessibility, and consistency across corporate records and transactional materials.
• Coordinate with internal stakeholders and external advisors to move corporate transactions and governance matters forward efficiently.
• Paralegal certificate or Juris Doctor required
• 3 years of experience in a corporate paralegal, legal operations, or startup-focused legal support role.
• Strong hands-on experience with Carta, including capitalization table maintenance, option grant administration, and equity record management.
• Practical knowledge of corporate governance processes, equity documentation, and 83(b) election administration.
• Experience supporting financing rounds through diligence preparation, virtual data room management, and investor document coordination.
• Ability to work independently, stay organized under pressure, and provide high-quality support in a high-growth business environment.
• Familiarity with tools or subject areas such as ADP platforms, QuickBooks, bookkeeping, investor relations support, or California employment compliance is a plus.
