Real Estate & Corporate Associate Attorney

Direct Counsel is seeking a Real Estate & Corporate Associate Attorney to join a well-established and highly respected full-service law firm in Los Angeles. This is an excellent opportunity for an attorney looking to work on sophisticated commercial real estate and business transactions while developing strong client relationships in a collaborative environment.

Position Overview

The ideal candidate will have experience handling a broad range of commercial real estate and corporate transactions, including acquisitions and dispositions, leasing, financing, entity formation, corporate governance, and general business matters. The successful candidate will work closely with partners and clients on complex transactions across multiple industries.

Responsibilities
  • Represent clients in commercial real estate transactions, including acquisitions, dispositions, financing, development, and leasing matters.

  • Draft, review, and negotiate purchase and sale agreements, lease agreements, loan documents, easements, and related transactional documents.

  • Conduct due diligence reviews, including title, survey, zoning, and environmental matters.

  • Advise clients on real estate development, ownership, management, and operational issues.

  • Assist business clients with entity formation, corporate governance, contract negotiations, and general corporate matters.

  • Draft and negotiate a variety of commercial agreements, including operating agreements, shareholder agreements, partnership agreements, and service contracts.

  • Coordinate transaction closings and manage multiple matters simultaneously.

  • Conduct legal research and provide practical legal advice to clients regarding real estate and corporate issues.

  • Collaborate with attorneys across practice groups to provide comprehensive client service.

Qualifications
  • Juris Doctor (J.D.) from an accredited law school.

  • Active membership in the California State Bar.

  • 2–6 years of experience in commercial real estate transactions, corporate law, or a combination of both.

  • Experience drafting and negotiating complex transactional documents.

  • Strong understanding of real estate acquisition, disposition, leasing, and financing transactions.

  • Familiarity with business entity formation, governance, and commercial contracts.

  • Excellent analytical, drafting, negotiation, and communication skills.

  • Strong attention to detail and ability to manage multiple deadlines and client matters.

  • Ability to work independently while contributing to a collaborative team environment.
