EMERGING GROWTH & VENTURE CAPITAL ASSOCIATE ATTORNEY / MID-LEVEL

A top-10 AmLaw firm is seeking a mid-level Associate Attorney to join its thriving Corporate Practice Group in San Diego . This is an outstanding opportunity for a talented attorney to advise high-growth companies and investors across the full lifecycle of startup ventures, from formation through exit. The role involves significant client interaction and collaboration with a nationally recognized team, within a flexible hybrid work environment.

Candidate Profile

• JD from a top-tier law school with an excellent academic record .

• Active Bar Admission in California , in good standing.

• 4+ years of substantive experience advising venture-backed companies , institutional investors , and emerging growth companies .

• Demonstrated experience with venture capital financings , M&A transactions , and a broad range of corporate governance and day-to-day operational issues .

• Proven ability to manage multiple workstreams, interact confidently with clients, and deliver high-quality work product under tight deadlines.

• Prior experience at an AmLaw 100 firm is strongly preferred .

• Soft Skills: Excellent analytical, writing, and negotiation skills, attention to detail, and the ability to work independently as well as collaboratively. The ideal candidate will be an influential force with a strong business acumen.

Key Responsibilities

• Represent emerging growth companies , venture capital firms , and strategic investors in connection with financing transactions , M&A , and general corporate matters.

• Provide counsel on entity formation , capitalization , corporate governance , and strategic transactions .

• Draft and negotiate term sheets , stock purchase agreements , convertible notes , SAFEs , and ancillary deal documentation .

• Collaborate with attorneys across practice areas, including IP, employment, and tax, to support startups at every growth stage.

• Develop and maintain strong client relationships by delivering proactive, solution-oriented legal guidance.

• Stay current on legal developments and trends affecting venture capital and startup clients.

Compensation & Benefits

• Competitive Compensation : Annual base salary is expected to range from $310,000 – $425,000 , determined by experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
